Contracts and Contract Disputes

We are often asked to review contracts for our clients. We utilize our expertise and years of experience to identify potential problems and pitfalls and address the problems upfront. Yes, "an ounce of prevention is worth a pound of cure". We prepare and review contracts to prevent and resolve potential problems when possible. Unfortunately, we also represent clients in litigation who did not get the advice upfront to resolve these problems.

When you enter into a contract, your rights and responsibilities are governed by the terms and conditions of the contract. Contracts for business, construction, real estate, leases, and purchases, often involve substantial amounts of money and potential liability.

For instance, a commercial lease may seem not like a lot of money when you look at the monthly payment. However, when you look at the entire lease period it often is crucial to your financial health. Furthermore, we can advise you on options to renew, rights of first refusal, build-out provisions, insurance provisions, and other terms that should be included. If you are the landlord, the written lease is even more important, since you are entrusting your valuable property to the tenant. You need the protection of a comprehensive lease which spells out the rights and responsibilities of the parties.

Similarly, entering into a partnership, corporation or other business entity, may not seem that complicated. However, your rights and duties in the operation of the business, as well as, the rights and duties for disability, death, and buyout are important to include in a binding agreement to resolve disputes before they arise. Often this can eliminate what would otherwise be expensive litigation.
